After Negotiations
Problems may arise after the parties leave the negotiating table. This happens when other persons interpret the contract language in a manner that may not be consistent with the understanding reached by the parties at the time of negotiations.
It is generally held that contract language should mean what was agreed to based on the written record of proposals and the discussions held at the table. Normally, the parties understand this. However, situations will arise where the parties have a dispute over the meaning of the language contained in the contract.
